"Shareholder's Festival" at the Annual General Meeting 2016 of EMS-CHEMIE HOLDING AG

- 2,049 participants representing 91.25% of shares entitled to vote

- Compagnia Rossini inspired the shareholders with traditional Swiss folk songs

The invitation to the Annual General Meeting of EMS-CHEMIE HOLDING AG in Domat/Ems on August 13, 2016 was followed by a large gathering of around 2,049 people. A total of 19,847,043 registered shares were represented, corresponding to 91.25% of shares entitled to vote.

The vocal ensemble "La Compagnia Rossini", directed by Armin Caduff, entertained the Annual General Meeting with their powerful vocal rendering of Grisons and Swiss folk songs. The official part of the meeting was brought to a close by the drum corps Domat/Ems led by Andri Seglias.

As every year, a further highlight was the presentation of innovative applications using EMS specialty products under the motto "Industry 4.0" by EMS apprentices and employees. Special guest was the cow "Berna" who proudly wore a cow activity meter made of EMS material on her collar.

The Annual General Meeting approved all proposals from the Board of Directors. The shareholders will receive an ordinary dividend of CHF 11.00 gross and an extra-ordinary dividend of CHF 4.00 gross for each dividend-bearing registered share. Dividend payment will commence on August 18, 2016. EMS shares will be traded ex-dividend from August 16, 2016.

Existing Chairman of the Board of Directors, Dr. Ulf Berg, as well as the current members Magdalena Martullo, Dr. Joachim Streu and Bernhard Merki were re-elected for a further one-year term of office. Also re-elected were statutory auditor KPMG AG, Zurich, and the independent proxy Dr. iur. Robert K. Däppen.

In the enormous marquee on the production site at Domat/Ems, shareholders were served a delicious lunch. 6 chefs from the Cantinetta Bialla together with 36 helpers from the sports club Männerriege Tamins and the Country Women's Association were responsible for the preparation of 385 melons, 184 kg of ham, 540 kg roast, 300 kg carrots, 360 kg Spätzli noodles as well as 345 kg ice cream. The meal was served by more than 84 members of various local clubs.

As usual, shareholders were able to visit the continuingly very successful exhibition on the history of the EMS-CHEMIE (nearly 18,000 visitors to date).* In addition, in the days before and after the Annual General Meeting, shareholders had the opportunity of an individual visit to the first Grisons Science Center EMSORAMA. More than 4200 people have visited this center since its opening in January 2016.**
